NOTICE OF ANNUAL MEMBERSHIP MEETING
OF TEXAS FOLK MUSIC FOUNDATION INC.
TO ALL MEMBERS OF TEXAS FOLK MUSIC FOUNDATION INC.

You are hereby notified that the Annual Membership Meeting for the Foundation will be held at 3:30 o'clock pm. on the 30th day of May 2011 at Threadgill Theater on Quiet Valley Ranch, Kerrville, Texas.

At the meeting, the members will hold an election for three Directors to fill positions on the Board of Directors for the coming three years.

There have been no further nominations received from the membership.

In addition, the members will consider approving a change in the by-laws in accordance with the description (below) of the proposed by-law changes.

Pursuant to the by-laws, voting shall be in person only and no proxies are allowed. Only current members who are present at the meeting shall be entitled to vote.

Proposed Amendment to the TFMF By-laws

This change is needed to clarify the Board's original intent of the language in the By-Laws: that all members who pay by the Record Date (e.g., April 20th 2011) are entitled to vote at the AGM – previously the wording was unclear. While we are making changes, we also want to ensure that the language is clear that dues payment by honorary members is not required in order to vote, because they do not pay, by definition.

Motion: The Board proposes to Amend the By-Laws of the Texas Folk Music Foundation in order to clarify the original intent (a) of the timing of the payment of membership dues for new Members, and (b) of the voting rights for any honorary Members
